Revenue Sharing and Payments
Taiv operates on a revenue-sharing model where payments are calculated based on a formula involving the Revenue Sharing Percentage and the Gross Revenue collected from advertisements displayed at business locations. Payment to businesses for ads shown is made within 120 days of receiving payment from advertisers. An Implementation Fee is deducted from the Revenue Sharing Payments until repaid. Businesses are responsible for their own tax reporting related to revenue generated from Taiv's services.
Hardware Responsibility and Fees
Businesses using Taiv's services are responsible for the equipment provided. In case of loss, theft, or damage (excluding manufacturing defects), they must pay $350 per affected unit plus any costs related to replacement, including shipping and installation. Businesses must provide at least 72 hours' notice for any service cancellations to avoid a $200 fee. Unnecessary service charges may incur fees of $150 per hour under specified conditions.
Compliance and Indemnification
Businesses utilizing Taiv's services agree to comply with all applicable laws and regulations. They must notify Taiv within 24 hours of identifying any technical issues. Both parties can terminate the agreement at any time, with specifics regarding continued service and equipment return terms. Taiv indemnifies and defends businesses against third-party infringement claims directly arising from the use of Taiv's services, except under certain conditions. Businesses are also required to share monthly guest count and demographic data as requested by Taiv.
Customer Support and Maintenance
Taiv provides free customer support, including on-site service, to address any hardware or service-related issues. Businesses must email Taiv at least 72 hours before any planned maintenance that might cause a hardware disconnection during business hours. For any required advertisements removal, businesses can email support@taiv.tv, and Taiv will remove the ads within 2 business days.
