About Nicholaus Johnson
I represent clients in corporate and securities law matters, acting as outside corporate counsel to public and private companies. I regularly advise companies on corporate governance matters, US Securities and Exchange Commission issues, securities exchange reporting and compliance, public and private financings, and venture capital. I also represent clients in strategic transactions, such as mergers and acquisitions with valuations ranging from tens of millions to more than a billion dollars, as well as complex commercial transactions. I have counseled startups, late-stage private companies and public companies in various industries, including healthcare, medical devices, biotechnology, apparel and agriculture. I received my law degree from the University of California, Berkeley, where I graduated Order of the Coif and served as an associate editor for the university’s California Law Review. Prior to joining Cooley, I represented private companies in a broad range of day-to-day and strategic transactions.
