In the aggregate, I have worked on transactions in excess of $300 billion and have advised boards and senior management on complex matters, including raising capital, asset purchases/sales, go-public and go-private transactions, SEC reporting, real estate, investor relations, litigation strategy and regulatory compliance. Representative Experience/Accomplishments: -Oversaw go-public transaction and responsible for public company reporting, M&A and general corporate transactions for a successful AI/ML tech business. -Materially reduced outside legal spend by implementing an in-house production first model. -Successfully built a public company reporting function in-house, reducing the use of outside counsel. -Successfully built a securitization platform for one employer that reduced its cost of capital (including transactions that set then execution benchmarks for the class). -Experienced practitioner working with regulated financials and funds. -Held a lead position in a corporate spin, listed stock with NASDAQ and coordinated the stock dividend distribution and related matters. -Eliminated a funding mismatch between a $30B portfolio and existing debt which reduced earnings volatility and allowed for more economical hedging. -For one employer, oversaw some of the most significant matters and worked directly on acquisitions and financings that brought more than 2.5M new customers and $18.5B of assets. -Lead lawyer in numerous transactions resulting in more than $275B+ of ABS (various assets) and $9B+ of debt to manage liquidity and financing needs.
