As a strategic advisor and corporate attorney, I help companies navigate legal and business challenges through all stages of corporate life from ideation to IPO/exit and beyond. Over the course of my career, I have overseen more than $80 billion in capital market, finance, M&A and restructuring transactions. I have also served as external and in-house counsel on a wide range of general corporate matters, including legal formation, corporate governance, board administration and SEC compliance and reporting. I currently serve as in-house counsel to GoodRx, Inc. (Nasdaq: GDRX) and Advisor to Sorting Robotics, Inc., a Y Combinator-backed robotics and automation technology startup. With my dual-degree JD/MBA, I provide a unique interdisciplinary perspective that allows me to integrate a business-oriented mindset with deep analytical legal experience to find pragmatic solutions to complex, novel problems. ---SELECT EXPERIENCE--- • In-house counsel to GoodRx, Inc. (Nasdaq: GDRX) on all matters relating to general corporate governance, securities regulations and SEC reporting. • Counsel to AFC Gamma, Inc. (Nasdaq: AFCG) and its founders on a variety of corporate legal matters from initial corporate formation/structuring to eventual IPO and beyond, leading to the establishment of the first publicly traded mortgage REIT in the cannabis sector and the development of SEC precedent • Counsel to the financial services arm of Honda Motor Co., Ltd. (NYSE: HMC) in a series of major financing transactions (including the establishment of a $30 billion medium-term notes program and multi-currency debt securities offerings) and its ongoing SEC reporting obligations (e.g., 10-K, 10-Q and 8-K) • Counsel to banking syndicate led by Goldman Sachs (NYSE: GS) and Deutsche Bank (NYSE: DB) in the debt financing of WME–IMG's $4 billion leveraged buyout of Ultimate Fighting Championship • Advised BitDAO, one of the world's largest DAO-directed treasuries, on legal formation and organizational governance and on the structuring of anticipated token swaps in support of their vision to build a decentralized finance ecosystem • Advised Coinbase Global, Inc. (Nasdaq: COIN) on the onboarding and potential listing of numerous crypto-assets on the client's exchange platform. • Counsel to investors and financial institutions in providing debt and equity capital to various emerging companies, including a prominent online hospitality marketplace and a developer of smart glass technology
