WaveDancer has entered into a definitive merger agreement with Firefly Neuroscience, Inc. The merger will be an all-stock transaction, combining the capabilities of both companies. The focus of the newly combined company will be on developing and commercializing Firefly's Artificial Intelligence driven Brain Network Analytics (BNA™) platform. This platform has already received clearance from the U.S. Food and Drug Administration. Upon completion of the merger, which is expected in Q1-2024, the new entity will operate under the name Firefly Neuroscience, Inc. and will be traded on the Nasdaq Global Market.
Firefly Neuroscience AI Brain Network Analytics Platform
The combined entity post-merger will prioritize the development and commercialization of Firefly's Brain Network Analytics (BNA™) platform. This platform utilizes Artificial Intelligence to analyze brain networks, providing advanced capabilities for neurological assessments. The BNA™ platform has already received clearance from the U.S. Food and Drug Administration, positioning it for significant future advancements and integrations in the healthcare technology sector.
IT Development and Cybersecurity Services
WaveDancer offers IT development, modernization efforts, and cybersecurity programs through its subsidiary, Tellenger, Inc. Tellenger specializes in providing modernization services specifically to the federal government. These services play a crucial role in updating and securing governmental IT infrastructures, ensuring they meet current and future technological standards.
Divestment of Tellenger, Inc.
As part of the merger between WaveDancer and Firefly Neuroscience, WaveDancer's subsidiary, Tellenger, Inc., will be divested. This divestiture will occur simultaneously with the closing of the Firefly merger. Tellenger, which offers IT modernization and cybersecurity services, particularly to the federal government, will part ways with the combined entity that will continue as Firefly Neuroscience, Inc.
